On December 20, 2008, Calpine Corporation, et al. (collectively the “Debtors”) filed voluntary petitions for reorganization under chapter 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the Southern District of New York (the “Court”). The Court ordered the Debtors’ cases to be jointly administered under case number 05-60200 (BRL).

On January 9, 2006, the Office of the United States Trustee for the Southern District of New York appointed an official committee of unsecured creditors (the “Creditors’ Committee”) in the Debtors’ cases. The Court entered an order dated June 21, 2006, appointing The Garden City Group, Inc. as the communications agent for the Creditors’ Committee.

On December 19, 2007, the Court entered an order (the “Confirmation Order”) confirming the Debtors’ Sixth Amended Joint Plan of Reorganization Pursuant to Chapter 11 of the United States Bankruptcy Code (as confirmed by the Confirmation Order and as may be amended in accordance with the provisions thereof, the “Plan”), and on January 31, 2008, the “Effective Date” (as defined in the Plan) occurred.

On September 30, 2009, the Court entered a final decree closing certain of the Debtors’ chapter 11 cases, and on December 20, 2011, the Court entered a final decree closing the remaining chapter 11 cases.
